1. Introduction

Welcome to Solution Playground, a platform that helps credit unions find solution partners through intelligent filtering and understanding the problems that credit unions are trying to solve.

These Terms of Service ("Terms") govern your access to and use of Solution Playground's website, services, and applications (collectively, the "Service").

By accessing or using the Service, you agree to be bound by these Terms.

If you disagree with any part of the Terms, you may not access the Service.

2. Definitions

"Solution Playground," "we," "us," or "our" refers to Solution Playground, the company operating this marketplace.
"Service" refers to the website, applications, and services provided by Solution Playground.
"User," "you," or "your" refers to individuals or entities that access or use the Service.
"Solution Provider" refers to a business or individual who offers solutions through our Service.
"Credit Union" refers to financial institutions that access our Service to find solution partners.
"Content" refers to any information, text, graphics, photos, or other materials uploaded, downloaded, or appearing on the Service.
"Qualified Referral" is defined as "Qualified Lead" in a Solution Provider Agreement.

2.1. Solution Provider Agreements

If you are a Solution Provider with a separately signed Solution Provider Partnership Agreement ("Partner Agreement") with Solution Playground, the terms of that Partner Agreement shall control in the event of any direct conflict with these Terms of Service.

3. Account Registration

To access certain features of the Service, you may be required to register for an account.

You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

You are responsible for safeguarding your password and for all activities that occur under your account.

You agree to notify us immediately of any unauthorized use of your account.

4. User Conduct

You agree not to:

Use the Service in any way that violates any applicable laws or regulations.
Impersonate any person or entity or falsely state or misrepresent your affiliation with a person or entity.
Interfere with or disrupt the Service or servers or networks connected to the Service.
Collect or store personal data about other users without their permission.
Use the Service for any purpose that is fraudulent or unlawful.
Post content that is defamatory, obscene, or otherwise objectionable.

5. Solution Provider Terms

If you are a Solution Provider:

5.1 Subscription and Fees

You agree to be bound by the subscription, fee, payment, and refund terms as set forth in your signed Solution Provider Partnership Agreement.

All payments are processed directly by our third-party payment partner, Nickel (getnickel.com).

Solution Playground does not collect, store, or have access to your credit card or bank account information.

5.2 Listing Content

You are solely responsible for the content of your listings, including the accuracy of descriptions and the solutions you offer.

You grant Solution Playground a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, adapt, publish, and display the content of your listings for the purpose of providing the Service.

5.3 Provider Conduct

You agree to respond promptly to inquiries from Credit Unions.
You agree not to contact Credit Unions outside the Service to circumvent referral fees.
You agree to provide solutions as described in your listings and to fulfill all commitments made to Credit Unions through the Service.

6. Credit Union Terms

If you are a Credit Union:

Access to the Service is provided free of charge.
You agree to use the Service only for the purpose of finding legitimate solution partners.
You agree not to share your account credentials with third parties or allow multiple institutions to use a single account.

7. Intellectual Property

The Service and its original content, features, and functionality are owned by Solution Playground and are protected by international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

You retain all rights to any content you submit, post, or display on or through the Service.

By submitting, posting, or displaying content on or through the Service, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, and display such content for the purpose of providing the Service.

8. Data Privacy & Non-Sale

8.1 We Do Not Sell Your Data

Solution Playground does not sell, rent, or trade your personal or business information to any third party for monetary value.

Our use of data is fully detailed in our Privacy Policy.

8.2 Data Sharing with Solution Providers

We are committed to protecting the privacy of our Credit Union users.

We do not provide Solution Providers with any personally identifiable information of Credit Union users, other than what a Credit Union user voluntarily provides when they initiate a "Qualified Lead" request.

Any platform data shared with Solution Providers for operational or marketing purposes is aggregated and anonymized (e..g., "X number of CUs searched for this term").

9. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including but not to a breach of the Terms.

Upon termination, your right to use the Service will immediately cease.

If you wish to terminate your account, you may simply discontinue using the Service or contact us to request account deletion.

10. Refund Policy

All fees, payments, and refunds for Solution Providers are governed exclusively by the Solution Provider Partnership Agreement.

Access to the Service for Credit Union users is free of charge.

11. Limitation of Liability

In no event shall Solution Playground, its directors, employees, partners, agents, suppliers, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

Your access to or use of or inability to access or use the Service.
Any conduct or content of any third party on the Service.
Any content obtained from the Service.
Unauthorized access, use, or alteration of your transmissions or content.

12. Disclaimer of Warranties

The Service is provided on an "AS IS" and "AS AVAILABLE" basis, without warranties of any kind, either express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

We do not warrant that:

The Service will function uninterrupted, secure, or available at any particular time or location.
Any errors or defects will be corrected.
The Service is free of viruses or other harmful components.

13. Indemnification

You agree to defend, indemnify, and hold harmless Solution Playground and its licensees, licensors, service providers, and employees from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Service.

14. Governing Law

These Terms shall be governed and construed in accordance with the laws of the State of Wisconsin, without regard to its conflict of law provisions.

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.

15. Compliance with Regulations

Solution Playground makes reasonable efforts to ensure compliance with applicable laws and regulations, including:

Data protection and privacy laws (such as GDPR, CCPA where applicable)
Financial industry regulations that may apply to credit unions (such as those from NCUA, CFPB, and other regulatory bodies)
Electronic communication regulations

Solution Providers are responsible for ensuring that their services and solutions comply with all regulations applicable to their industry and the credit union industry.

16. Changes to Terms

We reserve the right to modify or replace these Terms at any time.

Changes to the Terms will be effective when posted on this page with a new "Last updated" date.

Your continued use of the Service after any changes to the Terms constitutes your acceptance of the new Terms.

If you do not agree to the modified terms, you should discontinue your use of the Service.
